Licence Agreement for Intelligence Research Ltd’s electronic and printed information resources
The use of the www.latinnews.com website and Subscriptions to any publications, articles, special reports, and online content on this website or otherwise issued, whether electronically or in print, by Intelligence Research Ltd or its successor(s) [the Publisher], form an Agreement between the Publisher and the Subscriber subject to the following Terms & Conditions:
Copyright
The copyright for all publications, articles, and special reports (whether issued in print or electronically) and of all web content on www.latinnews.com [the Editorial Content] belongs to Intelligence Research Ltd, 61 Old Street, London, EC1V 9HW. No part of this copyright material may be reproduced or redistributed without the express written permission of the Publisher.
Subscriptions
Subscriptions to all publications, articles, special reports, and web content are payable in advance in full for periods of 1 or multiple years or as otherwise agreed. The Publisher, or its successor(s), undertakes to deliver to the subscriber the publications, articles, special reports, and/or web content subscribed to (or suitable substitute editorial material of similar or greater value) for the period agreed. Early cancellation will be accepted, and pro-rata refunds agreed to, only in exceptional circumstances and entirely at the discretion of the Publisher.
Editorial Content
The Publisher reserves the right to vary the nature, frequency, and/or extent of all publications, articles, special reports, and web content, or to substitute suitable alternative editorial material, as editorial circumstances dictate.
Authorized users
Subscriptions are for single-user, non-transferrable access only unless otherwise agreed. Multi-user licences may be negotiated separately.
Renewal of subscriptions
Renewal of services for one or multiple years will be offered by the Publisher prior to expiry of contracted period subject to separate negotiation.
Force majeure
The Publisher shall not be liable for the delay or non-performance of its obligations under this Agreement arising from any cause or causes beyond its reasonable control including, but not limited to, failure of electronic or mechanical equipment or communication lines, computer viruses, unauthorized access, theft, operator errors, labour disputes, acts of God, terrorist activity, war, riot, fire, outbreak of health epidemic or natural disaster or governmental restrictions.
Disclaimer
The Publisher makes no representations or warranties, and accepts no liability of any kind for any loss or damages resulting from the use of Editorial Content, which is provided "as is" and "as available". The Publisher makes no representations or warranties that the Editorial Content is error-free, or that it is fit for any particular purpose or requirements. In no event will Publisher be liable for direct, special, incidental, or consequential damages of any kind arising directly or indirectly from the use of Editorial Content.
Entire Agreement
Save as expressly agreed to in writing between the parties, any representation, warranty, term or condition not expressly set out in these Terms & Conditions shall not apply. If any provision of these Terms & Conditions is invalid or unenforceable, such will not render the entire Agreement unenforceable or invalid but rather the Agreement will be read and construed as if the invalid or unenforceable provision(s) are not contained therein.
Assignment
This Agreement may not be assigned or otherwise transferred by the subscriber but may be assigned to a third party by the Publisher.
Waiver
No delay or omission on the part of either party in requiring performance by the other party of its obligations will operate as a waiver of any right.
Governing Law
This Agreement shall be governed by the laws of England.
